Welcome to Invenly, developed by Michael Daniel (Logic Systems Studio). By accessing or using the Invenly mobile application or the Invenly Web App, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

1. Description of Service

Invenly is a cross-platform inventory and warehouse management system designed to track stock, manage warehouses, and facilitate team collaboration across mobile devices and web browsers. Features, limitations, and access depend on your selected subscription tier.

2. Subscription Tiers and Limitations

Invenly is provided under different subscription tiers. You agree to adhere to the limits associated with your tier. We reserve the right to enforce these limits programmatically. Attempting to circumvent these limits may result in account termination.

3. Payment Processing and Merchant of Record

Our order process for premium subscriptions is conducted by our online reseller, Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle handles all payment processing and billing inquiries. By purchasing an Invenly subscription, you also agree to Paddle's Consumer Terms and Conditions.

4. Data Backup and Responsibility

CRITICAL: USER RESPONSIBILITY FOR DATA & REPLICAS

While Invenly synchronizes your data to the cloud (Firebase) in real-time, you (the User or Organization) are solely and fully responsible for maintaining complete, accurate, and independent backups of all data entered into the application. This includes, without limitation: inventory item details, stock counts, batch numbers, expiration dates, warehouse/storage slot mappings, transaction histories, and user roles/permissions. We recommend exporting your data regularly using the built-in CSV/Excel export features.

Logic Systems Studio does not guarantee that your data will not be lost, corrupted, deleted, or otherwise compromised. Under no circumstances shall Logic Systems Studio, its developers, or its affiliates be liable for any data loss, inventory discrepancies, warehouse count mismatches, or any resulting financial, operational, or business disruption.

5. Artificial Intelligence (AI) Features Disclaimer

Invenly offers artificial intelligence-powered features, including but not limited to the AI Chat (querying inventory via natural language), Smart Scanner (auto-extracting items from delivery notes and invoices), Auto-fill Item Details (extracting information from product images), and Warehouse Slotting Optimization (generating warehouse layout recommendations based on pick history).

6. Disclaimer of Warranties

The Invenly mobile application and web app are provided on an "AS IS" and "AS AVAILABLE" basis. Logic Systems Studio makes no warranties, expressed or implied, and hereby disclaims all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose (including accuracy of inventory counting), or non-infringement of intellectual property.

7. Limitation of Liability

In no event shall Logic Systems Studio, its developers, or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the Invenly software, even if we have been notified orally or in writing of the possibility of such damage. This limitation applies to all claims, whether based on warranty, contract, tort (including negligence), or any other legal theory.

8. Account Termination

We reserve the right to suspend or terminate your organization's account and access to the Service at any time, without notice or liability, for any reason whatsoever, including without limitation if you breach the Terms of Service.

9. Refund Policy

We offer a full 30-day refund window for all paid subscription plans with no qualifiers or exceptions. If you are not satisfied with our Services for any reason within 30 days of your original purchase, you are entitled to a full refund. Payments are processed by Paddle.com as the Merchant of Record, and refunds are issued in accordance with Paddle's Buyer Terms. To request a refund, please contact us at MikiDaniel85@gmail.com.
